We are proud and excited to announce the merger of S. Friedman & Co. and Ephraim Abramson & Co.!

S. Friedman & Co. was established approximately 80 years ago. The firm’s specialties vary widely, and include corporate law, tax law, real estate and infrastructure, high-tech and more. The firm uniquely specializes in maritime law, and has many years of experience in the field. S. Friedman & Co. has two branches, one in Haifa and one in Tel Aviv.
Ephraim Abramson & Co. was established in 1985 by Adv. Ephraim Abramson. The firm specializes in local and international business law, including real estate, commercial litigation, corporate, high-tech, tenders, administrative law, infrastructure, non-profit organizations, media and more. The firm has branches in Jerusalem and in Tel Aviv.
The merged firm will include approximately 120 lawyers, and the merger will become effective this July. The merged firm’s management will include Hadar Tal and Amir Cohen-Dor from S. Friedman and Ephraim Abramson and Avraham Aberman from Ephraim Abramson & Co.
Both law firms have many years of experience and strong reputations, and have maintained a longstanding friendship and cooperation. In addition, the firms have successfully collaborated on several different occasions and even share clients and cases. The merger will significantly strengthen both firms’ core fields of expertise, such as real estate, infrastructure, corporate, higher education and more. The combined firm will have a strong presence in three activity hubs – Jerusalem, Tel Aviv and Haifa, which will enable us to better serve clients across the country. This is an exciting and stimulating development for both firms, which share similar world views and characteristics, and we are confident that the merger will broaden and deepen both firms’ practice areas, enabling us to continue to provide the highest level of legal services and representation to our clients.
We look forward to continuing to provide excellent legal and advisory services in all areas as we have for many years, from any of our offices in Haifa, Jerusalem and Tel Aviv.

Tamar is a Partner in our firm

Tamar specializes in advising public organizations – government ministries, regulation authorities and government companies, providing counsel regarding infrastructure projects and preparing legislation that regulates emerging sectors of the Israeli economy or sectors undergoing reforms. Specifically, she has been involved in preparing legislation, public tenders and concessions in fields such as water and sewage, ports, the dairy industry, oil and natural gas exploration, production and transmission, oil products storage and transmission, oil pollution preparedness and response, television broadcasting, legal metrology, and the telecommunications sector. Tamar also provides counsel to the largest Israeli guardianship entity.

Experience

During the 1990s, Tamar was instrumental in the sale of the Israeli government’s shareholdings in banks. Tamar was also at the helm of the privatization of Bezeq, Israel’s largest telecommunications company, when she drafted the prospectuses and coordinated all the regulatory work for its PO in 1998 and 2004.

Tamar’s involvement in these matters is the natural outgrowth of her extensive experience in government service before joining our firm. She worked in the Legal Department of the Ministry of Finance from 1974-1981, was the chief legal draftsperson for the Ministry of Justice (1981-86). Tamar then served as a Senior Deputy to the State Attorney from 1986-87, and was the Legal Advisor of the Ministry of Finance from 1988-1996. During this time, she also served as a Member of the Israeli Delegation to the Israeli-Palestinian Interim Agreement on the West Bank and the Gaza Strip. Tamar has also served as a director of several government companies, and from 2000-2003 as an External Director of a leading Israel retail chain. For many years Tamar served as a Member of the Restricted Trades Advisory Committee.

Avraham is a Partner in our firm

Avraham heads the firms real estate and commercial practice, specializing in domestic and international transactions, restructuring and management of public and commercial entities, and real estate ventures. He represents large foreign businesses in Israel and structures the flow of foreign investment into Israeli companies, advises various import/export businesses, conducts mergers and acquisitions, facilitates the expansion of retail chains and franchises in Israel and abroad, supervises the management of hotel chains, and counsels companies regarding marketing, manufacturing, and distribution concerns.

Avraham specializes in negotiating and overseeing complex transactions involving a broad spectrum of industrial, commercial, and private building projects. He supervises the management and operation of commercial centers, and advises clients regarding commercial real estate investments and sales and acquisitions of commercial properties in Israel and abroad.

Avraham serves as a court-appointed and private arbitrator and mediator, presiding over a wide range of matters in those capacities. He also serves as general counsel and business advisor for several non-profit organizations and educational institutions, and is the General Counsel and Board Member of a social services non-profit organization. Avraham received an LL.B. with honors from the Hebrew University of Jerusalem, where he was the Editor-in-Chief of the Mishpatim law review.

Yair is a Partner in our firm

Yair heads the firm’s litigation department. In his 25-plus years of litigation experience, Yair has argued thousands of cases, before courts at all levels of the Israeli court system, as well as in arbitration proceedings. Most notably, Yair has argued hundreds of times before the Israeli Supreme Court, in cases involving constitutional law issues such as freedom of speech and expression in the commercial broadcasting context, administrative law, and a broad array of commercial law issues. Yair also regularly tries cases in companies and commercial law, real estate cases, anti-trust, intellectual property, environmental, and criminal law. In addition, Yair specializes in drafting and litigating government tenders, on behalf of both governmental bodies and bidders, and has been active in advising clients regarding major infrastructure projects and other large-scale endeavors.

Yair also heads the firm’s telecommunications department and has been advising Israel’s Second Television Authority, for well over a decade, in all aspects of its activities, including commercial broadcasting, television and radio laws, administrative law, advertising law, and telecommunications ethics. Yair also advised the Israel Audience Research Board as well as a leading cellular telecommunications company, and is an expert in the field of telecommunications law in Israel.

Before joining Ephraim Abramson & Co., Yair was an associate at another Jerusalem law firm and served as a clerk to Menachem Elon, then the Deputy Chief Justice of the Supreme Court of Israel. Harry is a Partner in our firm

Harry is co-chair of the firm’s international department, and maintains a diverse corporate and commercial practice, with a focus on venture capital and private equity fund activity. His practice includes fund formation and portfolio investments in Israeli and U.S. based companies. Harry’s practice has involved structuring and negotiating local and cross-border mergers, acquisitions and joint ventures, and the representation of technology start-up companies from initial seed financing through acquisition or initial public offering. He has also advised clients on a number of large corporate acquisitions, including the sale of the largest advertising group in Israel, and complex telecommunications transactions. Harry also has expertise in negotiating commercial agreements, including joint-venture partnership, distribution, licensing, and marketing arrangements.

Before arriving in Israel and becoming a partner at Ephraim Abramson & Co., Harry was a corporate law partner with a well-known Melbourne law firm from 1986-1995. He was also admitted as an associate member of the Australian Society of Certified Practicing Accountants. Harry received his LL.B. and B.EC. from Monash University in Victoria.

Jeffrey is co-chair of the firm’s international transactions department, and focuses his business-oriented practice on corporate finance, mergers and acquisitions, strategic partnering, general corporate matters, and licensing (for high-technology and life science companies). He has advised clients in all phases of business planning and organization, and regularly represents private issuers, family offices, individuals, and venture capital and private equity firms in connection with portfolio investments in technology and other nascent companies. Jeffrey’s practice has involved an extensive amount of cross-border work, where he has assisted Israeli and foreign clients in acquisitions, public offerings, and licensing transactions primarily in the United States, Europe and Japan. Jeffrey’s clients are involved in the development of diverse technologies ranging from enterprise software, diversified electronics, ag-tech, aviation, internet and telecommunications systems, and pharmaceuticals and medical devices.

Jeffrey has lectured on corporate and technology issues at seminars and conferences in Israel, Japan and the United States, and taught for many years a course on Israeli commercial law sponsored by the Israeli Bar Association. Jeffrey is also involved at the board level in several community-oriented volunteer activities focusing on servicing the needs of people with intellectual disabilities, as well as other educational and charitable organizations.

Prior to joining Ephraim Abramson & Co., Jeffrey was an associate at two prominent Washington, D.C. law firms, where he specialized in tax and corporate work. Osnat’s practice focuses on counseling public sector clients in connection with regulatory issues and public tenders, and specializes in drafting and litigating government tenders in Hebrew and in English (including tenders for radio broadcasting concessions and television broadcasting licenses) and advising her public sector clients with respect to all stages of public tenders. She also offers counsel to commercial clients interested in submitting a proposal to government tenders. Osnat manages commercial business transactions as well and offers her counsel on a broad array of issues such as investments, mergers and acquisitions, share purchases, and corporate employment issues. Osnat is a member of the firm’s litigation department, and is involved in commercial litigation, including cases involving misrepresentations, torts, breach of contract, as well as tender law litigation. She is also a certified notary specializing in notarized translations.

Experience

Osnat was a Visiting Researcher at Harvard Law School from 1998-99, and completed the Harvard University Mediation Program in 2000. Prior to her studies at Harvard, Osnat was an associate at another Jerusalem-based firm from 1995-98. Osnat also served as an Assistant Lecturer in Criminal Procedure at the Hebrew University of Jerusalem Law School from 1993-97, and as a research assistant in Constitutional Law and Property Law. Ami is a member of the firm’s international department, and focuses his practice on corporate financings and commercial transactions. Ami represents both private and institutional investors in making portfolio investments, as well as high-technology and bio-technology companies in financings, mergers and acquisitions, and a variety of other corporate transactions and matters. Drawing on his valuable experience, Ami works together with clients to build an effective strategy regarding the legal and business aspects of developing, protecting, and commercializing their intellectual property and then negotiates agreements that reflect this collaborative vision. Ami also has developed expertise in negotiating a broad array of other commercial transactions, including joint venture, licensing, service and distribution agreements. With over twenty years of experience handling hundreds of legal cases, Haya developed an expertise in all aspects of commercial-civil litigation, in a variety of legal fields, including contracts, corporations and class actions.
Haya’s practice focuses on high level commercial litigation. She has successfully handled various types of lawsuits, occasionally involving multi-million dollar claims, and has argued before all levels of the Israeli court system, including the Supreme Court.
In recent years, Haya has developed arbitration mediation practices with a view to assist people to solve their commercial disputes while achieving significant cost saving. A very high rate of the mediations Haya is involved in are resolved in a mediation arrangement.
Through years of working with corporate clients, Haya has gained know-how in negotiating and drafting agreements and providing ongoing legal advice to corporations. Throughout her career, Haya has worked closely with CEOs and boards of directors on business law issues as well as corporate law.
As an expert on labor law, Haya mostly represents employers both in the labor courts and in negotiations with trade unions.
